The following terms and conditions (collectively, the “Terms of Use”) govern your access to and use of this website and all content, functionality and services offered by website  (collectively, the “Site”) offered by Modivoice Research Inc., a  British Columbia, Canada corporation (the “Company”).

CHANGES TO THE TERMS OF USE

The Company reserves the right to revise and update these Terms of Use from time to time in its sole discretion. LICENSING TERMS FOR ONLINE ORDERS (RINGTONES, VOICE MESSAGES)

The Company holds all right, title, and interest in and to the materials on the Site and audio materials delivered through online order form which are the copyrighted work of the Company. The Company grants you a limited, personal, non-exclusive and non-transferable license to use and play back the materials on your personal computer, mobile device, or voicemail service where media you own is stored. Except as stated herein, you have no right to copy, download, display, perform, reproduce, distribute, modify, edit, alter, or enhance any of the materials in any manner. This limited license terminates automatically, without notice to you, if you breach any of these Terms of Use. Upon termination, you must immediately destroy any downloaded materials. You have no right, title, or interest (and no copyright, trademark or other intellectual property right) in or to the Site or any materials and you agree not to “frame” or “mirror” the Site or audio materials licensed to you, any material contained on or accessible from the Site on any other server or Internet-based device without the advanced written authorization of the Company.

When using “ringtone/voicemail message online order form” you are ordering and paying for delivery of a voice message file in audio MP3 format to customer email. Company does not offer support for loading the audio file as a ringtone, voicemail greeting or other applications depending on intended use. You are encouraged to review related user manuals, online resources or seek third party assistance with technicalities relating to your specific device and desired application for the ordered audio file.

The Company reserves the right to withdraw or amend the Site, and any service or material provided through the Site, in its sole discretion and without notice to users. The Company will not be liable if for any reason all or any part of the Site is unavailable at any time or for any period. At times, the Company may restrict access to some parts of the Site, or the entire Site, to users.

PROHIBITED USES

You may use the Site only for lawful purposes and in accordance with these Terms of Use. You agree not to use the Site:

To copy any of the audio files, artwork, software, or text for any personal or commercial use other than uses provided for in the Site.
To engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the Site, or which, as determined by the Company, may harm the Company or its users or expose either or both to liability.

CONTENT STANDARDS

These content standards apply to any and all User Material and the use of online order forms. User Material must in their entirety comply with all applicable national, provincial, local and international laws and regulations. Without limiting the foregoing, User Material must not:

Contain any material which is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory or otherwise objectionable.

Be likely to deceive any person.
Promote any illegal activity, or advocate, promote or assist any unlawful act.
Cause annoyance, inconvenience or needless anxiety or be likely to upset, embarrass, alarm or annoy any other person.
Impersonate any person, or misrepresent your identity or affiliation with any person or organization.
Give the impression it emanates from or is endorsed by the Company or any other person or entity.
